1. OUR SERVICES

Kawaii Stop provides an online retail store offering fashion, accessories, cosplay items, collectibles, lifestyle products, and related goods.

The information provided through the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would violate law or regulation, or would subject us to any registration requirement within such jurisdiction or country.

Customers who access the Services from outside the United States do so on their own initiative and are solely responsible for compliance with local laws, customs rules, import restrictions, taxes, and regulations.

The Services are hosted and operated in the United States. By using the Services, you understand and agree that your information may be transferred to, processed in, and stored in the United States.

3. INTELLECTUAL PROPERTY RIGHTS

4. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  1. All registration, billing, shipping, contact, and payment information you submit is true, accurate, current, and complete;
  2. You will promptly update account and payment information when necessary;
  3. You have the legal capacity to agree to these Terms;
  4. You will not access the Services through automated or non-human means, including bots, scripts, scrapers, or similar tools;
  5. You will not use the Services for any fraudulent, illegal, abusive, or unauthorized purpose;
  6. You will not submit false claims, false disputes, false chargebacks, false return requests, or misleading information; and
  7. Your use of the Services will comply with all applicable laws and regulations.

If any information you provide is inaccurate, incomplete, fraudulent, misleading, or outdated, we may suspend or terminate your account, cancel orders, refuse service, or pursue remedies available under these Terms and applicable law.


5. USER REGISTRATION

You may be required to create an account to use certain parts of the Services.

You are responsible for maintaining the confidentiality of your account login information and for all activity that occurs under your account.

You agree to notify us immediately if you believe your account has been accessed without authorization.

We reserve the right to remove, reclaim, or change a username, suspend an account, or terminate access if we determine, in our sole discretion, that the account is inappropriate, misleading, abusive, fraudulent, inactive, or otherwise violates these Terms.


6. PRODUCTS

We make reasonable efforts to display product descriptions, colors, images, sizing, specifications, prices, and availability accurately. However, we do not guarantee that all product descriptions, images, colors, details, measurements, or availability information will be accurate, complete, reliable, current, or error-free.

Product images are illustrative. Actual colors, textures, sizing, patterns, packaging, materials, and appearance may vary due to lighting, screen settings, manufacturing differences, supplier updates, restocks, product batches, photography, or other factors.

Minor variations in color, sizing, material, packaging, labeling, stitching, trim, print placement, shade, shape, or appearance do not automatically constitute a defect.

All products are subject to availability. We may limit quantities, discontinue products, correct product information, update pricing, or cancel orders where necessary.

We reserve the right to correct pricing, typographical, inventory, shipping, discount, or product errors at any time, including after an order is placed. If payment has already been captured and the order cannot be fulfilled under the corrected terms, we may cancel and refund the affected order.


7. PURCHASES AND PAYMENT

We accept payment methods displayed at checkout, which may include major credit cards, debit cards, PayPal, Shop Pay, or other payment options made available through the Services.

By placing an order, you agree to pay all charges associated with your purchase, including:

  2. Shipping charges, if applicable;
  3. Taxes, duties, or fees, if applicable;
  4. Any optional protection, service, or handling fees selected at checkout; and
  5. Any other charges disclosed before purchase.

You authorize Kawaii Stop LLC and our payment processors to charge your selected payment method for all amounts due.

We reserve the right to refuse, cancel, or limit any order, including orders that appear to be fraudulent, abusive, placed by resellers, placed using inaccurate information, placed with payment issues, or otherwise in violation of these Terms.

All payments are processed in U.S. dollars unless otherwise stated.


8. SHIPPING, DELIVERY, CUSTOMS, AND REFUSED DELIVERIES

Shipping and processing are governed by our Shipping Policy, which is incorporated into these Terms by reference.

Processing time refers to the time needed to prepare, source, package, verify, or fulfill an order before shipment.

Shipping time refers to the estimated transit time after the carrier or logistics provider receives the package.

Processing and shipping timelines are estimates and are not guarantees unless expressly stated otherwise in writing.

Delivery is considered complete when the carrier, postal service, logistics provider, tracking service, or delivery confirmation marks the shipment as delivered to the address provided at checkout.

Once delivery is confirmed, responsibility for the package transfers to the customer, including risk of loss, theft, damage after delivery, missing package claims, or inability to retrieve the package, unless an approved shipping protection plan applies.

Customers are responsible for providing a complete and accurate shipping address. Address errors, missing apartment numbers, incorrect postal codes, forwarding issues, refusal of delivery, failure to pick up a package, or local delivery problems may result in delays, failed delivery, return shipping, additional fees, or loss of refund eligibility.

International orders may be subject to customs duties, taxes, import fees, brokerage fees, inspection delays, customs holds, or other government charges. These charges are the customer’s responsibility unless otherwise stated.

If an order is refused, abandoned, rejected, returned, delayed, seized, destroyed, or not delivered due to unpaid customs fees, import restrictions, incomplete address information, customer refusal, failure to pick up, or local delivery issues, refund eligibility will be determined by our Shipping Policy and Refund Policy.

Kawaii Stop LLC is not responsible for carrier delays, customs delays, customs fees, import duties, local delivery restrictions, incorrect addresses, failed delivery attempts, refused deliveries, package theft after delivery, or loss after carrier-confirmed delivery, except where required by law or expressly provided in our posted policies.


9. RETURNS, REFUNDS, EXCHANGES, AND CANCELLATIONS

Returns, refunds, exchanges, cancellations, final sale items, damaged items, incorrect items, and order issues are governed by our Refund Policy, which is incorporated into these Terms by reference.

By placing an order, you agree to review and follow our Refund Policy before requesting a return, refund, exchange, cancellation, replacement, store credit, or other remedy.

Certain items may be final sale, non-returnable, custom-made, made-to-order, hygienic, intimate, seasonal, clearance, supplier-restricted, or otherwise ineligible for return or refund.

Cancellation requests are not guaranteed. Orders may begin processing shortly after purchase, and cancellation eligibility depends on the order status, supplier status, fulfillment stage, product type, and our Refund Policy.

If a cancellation request is submitted after processing, sourcing, production, customization, or shipment has begun, the order may not be eligible for cancellation or full refund.

Refunds, if approved, may be issued to the original payment method, store credit, gift card, replacement, exchange, or another remedy permitted under our posted policies.

Original shipping charges, customs fees, route/shipping protection fees, processing fees, payment processing fees, restocking fees, and other non-refundable charges may be excluded from refunds where permitted by law and disclosed in our policies.


10. PAYMENT DISPUTES, CHARGEBACKS, AND FRIENDLY FRAUD

If you believe there is an issue with your order, payment, product, delivery, refund, return, cancellation, or account, you agree to contact Kawaii Stop LLC first and allow us a reasonable opportunity to review and resolve the issue before initiating a chargeback, payment dispute, reversal, unauthorized transaction claim, fraud claim, or similar claim with your bank, card issuer, payment provider, payment processor, or financial institution.

Kawaii Stop LLC reserves the right to dispute, respond to, challenge, and submit evidence for any chargeback, payment dispute, reversal, fraud claim, unauthorized transaction claim, or similar claim.

Evidence may include, but is not limited to:

  1. Order records;
  2. Checkout records;
  3. Billing and shipping information;
  4. Customer account information;
  5. Tracking records;
  6. Delivery confirmation;
  7. Carrier records;
  8. Customer communications;
  9. Product page disclosures;
  10. Refund Policy terms;
  11. Shipping Policy terms;
  12. IP address, device, browser, or session information where available;
  13. Fraud screening information;
  14. Prior order history;
  15. Support ticket history; and
  16. Any other information reasonably related to the transaction or dispute.

Submitting a chargeback, payment dispute, reversal, fraud claim, or unauthorized transaction claim that is false, misleading, abusive, made after receiving the product or service, made to avoid payment, inconsistent with order records, inconsistent with delivery records, or inconsistent with customer communications may be treated as friendly fraud, payment abuse, or misuse of the Services.

To the fullest extent permitted by law, if Kawaii Stop LLC incurs losses, unpaid balances, chargeback fees, payment processor fees, penalties, collection costs, arbitration fees, court costs, attorney’s fees, shipping losses, product losses, administrative costs, or other expenses due to a false, misleading, abusive, unauthorized, or improper payment dispute, you agree that you may be responsible for reimbursing Kawaii Stop LLC for those amounts, plus the original order amount if it remains unpaid.

A customer’s decision to initiate a chargeback or payment dispute does not waive, replace, or eliminate Kawaii Stop LLC’s rights under these Terms, including the right to pursue payment, reimbursement, collection, arbitration, small claims relief, court relief, or other legal remedies in Cook County, Illinois, to the fullest extent permitted by law.

Nothing in this section prevents a customer from making a legitimate claim with their payment provider where required or protected by applicable law. This section is intended to prevent false, abusive, misleading, or improper payment disputes.


11. PROMOTIONS, DISCOUNTS, AND FINAL SALE ITEMS

Promotions, discounts, coupon codes, giveaways, sales, gift cards, store credits, and special offers are subject to the terms stated at the time of the offer.

Promotions may be modified, limited, or discontinued at any time unless otherwise prohibited by law.

Discount codes may not be combined unless expressly stated.

Certain items may be marked as final sale, non-returnable, non-refundable, or exchange-only.

Giveaways, contests, sweepstakes, or promotional events may be governed by separate terms and conditions posted on the applicable promotion page.


12. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than the purpose for which we make the Services available.

You agree not to:

  1. Use the Services for fraudulent, abusive, illegal, or unauthorized purposes;
  2. Submit false order information, false payment information, false refund claims, false return claims, false chargebacks, or false delivery claims;
  3. Attempt to obtain a refund, replacement, store credit, reversal, or financial benefit through misleading, incomplete, false, or abusive conduct;
  4. Misrepresent order issues, delivery status, product condition, product use, payment authorization, or customer identity;
  5. Interfere with site security, functionality, or operations;
  6. Circumvent security features or fraud prevention tools;
  7. Use bots, scrapers, crawlers, automated scripts, or data extraction tools without written permission;
  8. Copy, scrape, reproduce, or exploit product data, content, images, descriptions, pricing, or website materials;
  9. Upload or transmit viruses, malware, spyware, or harmful code;
  10. Harass, abuse, threaten, intimidate, or mistreat our employees, contractors, support agents, partners, or suppliers;
  11. Submit false reports of abuse, misconduct, fraud, delivery failure, or product defects;
  12. Use the Services in a way that violates applicable laws or regulations;
  13. Attempt to impersonate another person or use another person’s payment method without authorization;
  14. Use the Services to compete with us or exploit our content commercially;
  15. Use a buying agent, reseller, or purchasing agent where we prohibit such activity;
  16. Engage in conduct that creates an unreasonable burden on our systems, staff, support operations, payment processors, suppliers, or logistics providers; or
  17. Otherwise violate these Terms or any posted policy.

We reserve the right to investigate, restrict, suspend, cancel, block, or terminate accounts, orders, or access where we believe a violation has occurred.


13. REVIEWS, USER CONTENT, AND SUBMISSIONS

The Services may allow you to submit reviews, comments, photos, videos, messages, suggestions, feedback, questions, or other content.

By submitting content to us or through the Services, you represent that:

  1. The content is accurate and not misleading;
  2. You have the rights necessary to submit it;
  3. The content does not infringe any third-party rights;
  4. The content does not contain unlawful, abusive, obscene, defamatory, threatening, harassing, or discriminatory material; and
  5. The content does not violate these Terms.

By submitting reviews, photos, videos, feedback, comments, or other content, you grant Kawaii Stop LLC a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, publish, display, modify, distribute, and create derivative works from such content for business, customer service, operational, marketing, advertising, legal, and promotional purposes.

We may remove, edit, reject, or refuse to publish user content at any time and for any reason.

Reviews are not guaranteed to be posted and do not necessarily reflect the views of Kawaii Stop LLC.

You agree not to submit false, misleading, abusive, defamatory, or bad-faith reviews, including reviews intended to obtain a refund, replacement, store credit, discount, or other benefit through pressure or misrepresentation.


14. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to third-party websites, apps, services, payment processors, logistics providers, social media platforms, tracking tools, or other third-party content.

We do not control and are not responsible for third-party websites, services, policies, content, accuracy, privacy practices, payment processing, shipping systems, or actions.

Your use of third-party services is governed by the terms and policies of those third parties.

Kawaii Stop LLC is not responsible for losses, delays, fees, errors, or damages caused by third-party websites, payment processors, carriers, suppliers, customs authorities, apps, plugins, or platforms, except where required by law.


15. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to:

  1. Monitor the Services for violations of these Terms;
  2. Investigate suspected fraud, abuse, misuse, chargeback abuse, or policy violations;
  3. Take legal action where appropriate;
  4. Refuse, cancel, limit, or restrict orders;
  5. Suspend, terminate, or restrict accounts;
  6. Remove, edit, or disable content;
  7. Block certain IP addresses, devices, users, or regions where necessary;
  8. Report unlawful or abusive conduct to payment processors, fraud prevention services, law enforcement, or legal authorities where appropriate; and
  9. Manage the Services in a manner designed to protect our rights, customers, payment systems, staff, suppliers, and operations.

16. PRIVACY POLICY

Our Privacy Policy is incorporated into these Terms by reference.

By using the Services, you agree to our Privacy Policy.

The Services are hosted in the United States. If you access the Services from outside the United States, you understand and agree that your information may be transferred to, processed in, and stored in the United States.

We do not knowingly collect personal information from children under thirteen (13) years old. If we learn that a child under thirteen has provided personal information without required parental consent, we will take steps to delete such information as required by law.


17. COPYRIGHT INFRINGEMENTS

We respect the intellectual property rights of others.

If you believe material available on or through the Services infringes your copyright, you may contact us using the contact information provided in these Terms.

Please include sufficient information for us to review the claim, including identification of the copyrighted work, identification of the allegedly infringing material, your contact information, a statement that you have a good-faith belief the use is unauthorized, and any other information required by applicable law.

You may be liable for damages if you knowingly submit a false or misleading copyright claim.


18. TERM AND TERMINATION

These Terms remain in effect while you use the Services.

We reserve the right, in our sole discretion and without notice or liability, to deny access to the Services, suspend accounts, cancel orders, block users, or terminate accounts for any reason permitted by law, including but not limited to:

  1. Violation of these Terms;
  2. Fraud or suspected fraud;
  3. Payment abuse;
  4. Chargeback abuse;
  5. False claims;
  6. Harassment or abuse of staff;
  7. Misuse of customer support;
  8. Unauthorized use of the Services;
  9. Security risks; or
  10. Conduct that creates operational, financial, legal, or reputational risk for Kawaii Stop LLC.

If your account is terminated or suspended, you may not create another account using your name, a false name, another person’s name, or another account without our written consent.

Termination does not limit any rights or remedies available to Kawaii Stop LLC, including recovery of unpaid amounts, fees, losses, chargeback costs, legal costs, or other damages.


19. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, suspend, discontinue, or remove all or part of the Services at any time and for any reason, without notice, unless required by law.

We do not guarantee that the Services will be available at all times.

The Services may experience interruptions, delays, errors, technical issues, maintenance, outages, app failures, supplier issues, payment processor issues, or carrier-related interruptions.

We are not liable for any loss, damage, delay, inconvenience, or inability to access or use the Services caused by interruptions, errors, downtime, or service changes.

We may update these Terms from time to time by posting a revised version with an updated “Last Updated” date.

Your continued use of the Services after updated Terms are posted constitutes acceptance of the updated Terms.


20. GOVERNING LAW

Kawaii Stop LLC is a Wyoming limited liability company. However, to the fullest extent permitted by law, these Terms, the Services, your use of the Services, and any purchase, order, payment, refund, return, exchange, cancellation, delivery issue, customs issue, chargeback, payment dispute, fraud claim, customer communication, collection matter, or other transaction involving Kawaii Stop LLC shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict-of-law principles.

To the fullest extent permitted by law, all disputes, claims, controversies, arbitrations, small claims actions, lawsuits, court proceedings, collection actions, payment dispute-related claims, chargeback-related claims, or other legal proceedings arising out of or relating to these Terms, the Services, or any transaction with Kawaii Stop LLC shall be brought and conducted exclusively in Cook County, Illinois, unless applicable law requires otherwise.


21. DISPUTE RESOLUTION, VENUE, ARBITRATION, AND LEGAL PROCEEDINGS

Informal Resolution

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms, the Services, or any transaction with Kawaii Stop LLC, including but not limited to any order, payment, refund, return, cancellation, delivery issue, customs issue, chargeback, payment dispute, fraud claim, collection matter, or customer communication, each party agrees to first attempt to resolve the dispute informally for at least thirty (30) days before initiating arbitration, small claims court, a lawsuit, collection action, or any other legal proceeding.

Informal resolution begins when one party provides written notice to the other party describing the dispute and the relief requested.

Exclusive Venue and Jurisdiction

To the fullest extent permitted by law, any arbitration, small claims action, lawsuit, court proceeding, collection action, payment dispute-related claim, chargeback-related claim, or other legal proceeding arising out of or relating to these Terms, the Services, or any transaction with Kawaii Stop LLC must be brought exclusively in Cook County, Illinois.

By accessing the Services, creating an account, placing an order, completing a purchase, submitting payment, requesting a return, requesting a refund, initiating a chargeback or payment dispute, communicating with customer support, or otherwise using the Services, you consent to personal jurisdiction and exclusive venue in Cook County, Illinois.

Both parties waive any objection to venue, jurisdiction, inconvenient forum, forum non conveniens, or similar defense based on the proceeding being brought in Cook County, Illinois, except where such waiver is prohibited by law.

Arbitration, Small Claims, Court, and Other Legal Proceedings

Either party may elect to resolve a dispute through informal resolution, binding arbitration, small claims court, collection action, or another legal proceeding, provided that any such arbitration, court case, small claims action, collection action, or legal proceeding must be conducted exclusively in Cook County, Illinois, unless applicable law requires otherwise.

If either party elects arbitration, the arbitration shall be conducted on an individual basis through the American Arbitration Association, or another mutually agreed arbitration provider, under the applicable consumer or commercial arbitration rules.

Unless the parties agree otherwise in writing, arbitration shall take place in Cook County, Illinois, or by documents, telephone, video conference, or other remote means where allowed by the applicable rules.

Either party may bring an individual claim in small claims court if the claim qualifies for small claims court jurisdiction. Any small claims action must be brought exclusively in Cook County, Illinois, unless applicable law requires otherwise.

Either party may bring a court proceeding in Cook County, Illinois where arbitration is not elected, where small claims court is not available, where emergency relief is needed, where collection action is pursued, or where applicable law permits or requires court proceedings.

Chargebacks, Friendly Fraud, and Collection Rights

Nothing in these Terms prevents Kawaii Stop LLC from responding to, challenging, disputing, or submitting evidence against any chargeback, payment dispute, fraud claim, reversal, unauthorized transaction claim, or similar claim through a bank, card issuer, payment processor, payment network, or financial institution.

To the fullest extent permitted by law, Kawaii Stop LLC may pursue recovery for unpaid order amounts, reversed payments, chargeback fees, payment processor fees, shipping losses, product losses, collection costs, court costs, arbitration costs, attorney’s fees, administrative costs, and other losses caused by false, misleading, abusive, unauthorized, or improper disputes, claims, chargebacks, reversals, or payment activity.

A chargeback, payment dispute, reversal, or fraud claim does not waive, replace, delay, or eliminate Kawaii Stop LLC’s rights under these Terms, including the right to pursue payment, reimbursement, collection, arbitration, small claims relief, court relief, injunctive relief, or other legal remedies in Cook County, Illinois, to the fullest extent permitted by law.

Class Action, Collective Action, and Representative Action Waiver

To the fullest extent permitted by law, both parties agree that any dispute shall be brought only on an individual basis.

No dispute may be brought, heard, arbitrated, or resolved as a class action, collective action, representative action, consolidated action, mass action, or private attorney general action, except where prohibited by law.

The arbitrator, court, or other decision-maker may not consolidate claims of multiple customers or preside over any class, collective, representative, consolidated, or mass proceeding, except where prohibited by law.

Jury Trial Waiver

To the fullest extent permitted by law, both parties knowingly and voluntarily waive the right to a jury trial for any dispute arising out of or relating to these Terms, the Services, or any transaction with Kawaii Stop LLC.

Time Limit to Bring Claims

To the fullest extent permitted by law, any dispute, claim, or cause of action arising out of or relating to the Services, these Terms, or any transaction with Kawaii Stop LLC must be brought within one (1) year after the claim arises, unless a longer period is required by applicable law.

Emergency and Equitable Relief

Nothing in this section prevents either party from seeking temporary, emergency, injunctive, or equitable relief where necessary.

Nothing in this section prevents Kawaii Stop LLC from seeking injunctive or equitable relief for intellectual property violations, fraud, unauthorized use, abuse of the Services, security issues, chargeback abuse, payment fraud, false claims, harassment, or other conduct that may cause immediate or irreparable harm.

Severability

If any part of this dispute resolution section is found unlawful, void, or unenforceable, that part shall be severed, and the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.


22. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including product descriptions, pricing, promotions, shipping times, availability, sizing, images, product details, or other information.

We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice, including after an order has been submitted.

We reserve the right to cancel, reject, or modify an order affected by an error where permitted by law.


23. DISCLAIMER

THE SERVICES AND PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, KAWAII STOP LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND ERROR-FREE OPERATION.

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT GUARANTEE THAT PRODUCT IMAGES, COLORS, SIZING, MEASUREMENTS, PACKAGING, MANUFACTURING DETAILS, OR SUPPLIER INFORMATION WILL BE PERFECTLY ACCURATE OR IDENTICAL TO WHAT APPEARS ON YOUR SCREEN.

WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES, PAYMENT PROCESSORS, SHIPPING CARRIERS, CUSTOMS AUTHORITIES, SUPPLIERS, APPS, PLUGINS, OR EXTERNAL WEBSITES.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU. IN SUCH CASES, THE DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.


24. LIMITATIONS OF LIABILITY

IN NO EVENT WILL KAWAII STOP LLC, OUR MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, SUPPLIERS, PARTNERS, AFFILIATES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE, OR SIMILAR DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, LOSS OF USE, BUSINESS INTERRUPTION, EMOTIONAL DISTRESS, INCONVENIENCE, LOST TIME, LOST WAGES, OR OTHER DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES, ANY PRODUCT, ANY ORDER, ANY DELIVERY ISSUE, ANY RETURN, ANY REFUND, ANY CANCELLATION, ANY PAYMENT DISPUTE, OR ANY TRANSACTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Order-Level Liability Cap

TO THE FULLEST EXTENT PERMITTED BY LAW, KAWAII STOP LLC’S TOTAL LIABILITY FOR ANY CLAIM, DISPUTE, CHARGEBACK-RELATED MATTER, REFUND ISSUE, DELIVERY ISSUE, PRODUCT ISSUE, SIZING ISSUE, CANCELLATION ISSUE, PAYMENT ISSUE, OR OTHER MATTER ARISING FROM AN ORDER SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY THE CUSTOMER TO KAWAII STOP LLC FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED, INCLUDING CONTRACT, WARRANTY, NEGLIGENCE, MISREPRESENTATION, CONSUMER PROTECTION, EQUITY, RESTITUTION, UNJUST ENRICHMENT, OR ANY OTHER THEORY, EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.

UNDER NO CIRCUMSTANCES SHALL KAWAII STOP LLC BE LIABLE FOR AMOUNTS EXCEEDING THE PURCHASE PRICE OF THE SPECIFIC ORDER AT ISSUE, EXCEPT WHERE REQUIRED BY LAW.

KAWAII STOP LLC SHALL NOT BE LIABLE FOR CARRIER DELAYS, CUSTOMS DELAYS, CUSTOMS FEES, IMPORT DUTIES, INCORRECT SHIPPING INFORMATION PROVIDED BY THE CUSTOMER, FAILED DELIVERY ATTEMPTS, REFUSED DELIVERIES, PACKAGE THEFT AFTER DELIVERY, LOSS AFTER CARRIER-CONFIRMED DELIVERY, MINOR COLOR VARIATIONS, MANUFACTURING VARIATIONS, PRODUCT BATCH VARIATIONS, PACKAGING VARIATIONS, SIZING SELECTION ERRORS BY THE CUSTOMER, CUSTOMER FAILURE TO REVIEW SIZE CHARTS OR PRODUCT DETAILS, OR OTHER ISSUES OUTSIDE OUR REASONABLE CONTROL, EXCEPT WHERE REQUIRED BY LAW OR EXPRESSLY PROVIDED IN OUR POSTED POLICIES.

CERTAIN STATE, FEDERAL, OR INTERNATIONAL LAWS MAY NOT ALLOW SOME LIMITATIONS OR EXCLUSIONS. IN SUCH CASES, THE LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.


25. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Kawaii Stop LLC, including our members, managers, officers, employees, contractors, suppliers, partners, affiliates, and agents, from and against any loss, damage, liability, claim, demand, fee, penalty, chargeback fee, payment processor fee, shipping cost, product cost, collection cost, attorney’s fee, arbitration cost, court cost, or expense arising out of or relating to:

  1. Your breach of these Terms;
  2. Your misuse of the Services;
  3. Your violation of any applicable law or regulation;
  4. Your user content, reviews, submissions, or communications;
  5. Your violation of any third-party rights;
  6. Any false, misleading, abusive, unauthorized, or improper claim, dispute, chargeback, reversal, fraud claim, unauthorized transaction claim, or payment dispute;
  7. Your failure to provide accurate billing, shipping, contact, account, or payment information;
  8. Your refusal of delivery, failure to accept delivery, failure to pick up a package, or failure to pay customs, import, or carrier-related charges where applicable;
  9. Any attempt to obtain a product, refund, replacement, exchange, credit, reversal, or financial benefit through false, misleading, incomplete, abusive, or improper statements or conduct;
  10. Harassment, abuse, threats, or mistreatment of our employees, contractors, support agents, suppliers, or partners; or
  11. Any conduct that causes Kawaii Stop LLC to incur fees, losses, penalties, operational costs, legal expenses, or reputational harm.

We reserve the right, at your expense and to the fullest extent permitted by law, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.


26. USER DATA

We may maintain certain data that you transmit to the Services for the purpose of managing orders, customer support, account access, fraud prevention, chargeback responses, legal compliance, analytics, and operation of the Services.

Although we may perform backups or use third-party platforms to store data, you are responsible for maintaining your own records of orders, communications, policies, and transactions.

We are not liable for loss, corruption, deletion, or unavailability of user data except where required by law.


27. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, creating an account, placing an order, submitting payment, sending emails, using chat, clicking buttons, accepting terms at checkout, submitting forms, and communicating with us electronically constitute electronic communications.

You consent to receive electronic communications from us, including notices, order confirmations, policy updates, customer support messages, refund communications, shipping updates, legal notices, and transaction records.

You agree that electronic communications, agreements, notices, policies, disclosures, signatures, order records, and transaction records satisfy any legal requirement that such communications be in writing.

You agree to the use of electronic signatures, electronic contracts, electronic records, electronic notices, and electronic delivery of policies and transaction records.

You waive any defense based on the electronic form of these Terms or the lack of a physical signature, except where prohibited by law.

29. MISCELLANEOUS

These Terms, together with our posted policies and any operating rules posted by us on the Services, constitute the entire agreement between you and Kawaii Stop LLC regarding the Services.

Our Refund Policy, Shipping Policy, Privacy Policy, product-specific notices, final sale notices, processing time disclosures, size charts, product page disclosures, checkout disclosures, promotion terms, and any other posted policies are incorporated into these Terms by reference.

Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

Any waiver must be in writing and signed by Kawaii Stop LLC.

These Terms operate to the fullest extent permitted by law.

We may assign any or all of our rights and obligations to others at any time, including in connection with a merger, acquisition, asset sale, restructuring, transfer of ownership, or business transition.

You may not assign your rights or obligations under these Terms without our prior written consent.

If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision shall be severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.

There is no joint venture, partnership, employment, agency, franchise, or fiduciary relationship created between you and Kawaii Stop LLC as a result of these Terms or your use of the Services.

You agree that these Terms will not be construed against Kawaii Stop LLC merely because we drafted them.

Fees and Costs

To the fullest extent permitted by law, if Kawaii Stop LLC is required to take action to collect unpaid amounts, respond to false or abusive disputes, enforce these Terms, recover losses caused by chargebacks or payment reversals, or defend against claims arising from false, misleading, or abusive customer conduct, Kawaii Stop LLC may seek recovery of its reasonable costs, including chargeback fees, payment processor fees, collection costs, arbitration fees, court costs, attorney’s fees, administrative costs, and related expenses.

No Waiver

Our failure to immediately enforce any right, policy, remedy, or provision of these Terms shall not be considered a waiver of that right, policy, remedy, or provision.

Force Majeure

Kawaii Stop LLC shall not be responsible or liable for delay, failure to perform, loss, damage, or inconvenience caused by events beyond our reasonable control, including but not limited to carrier delays, customs delays, supply chain issues, supplier errors, labor disputes, natural disasters, weather events, government actions, war, terrorism, civil unrest, pandemics, system outages, cyberattacks, payment processor disruptions, app failures, logistics failures, or other events outside our reasonable control.

Survival

Any provisions that by their nature should survive termination shall survive, including payment obligations, chargeback provisions, dispute resolution, governing law, venue, limitation of liability, indemnification, intellectual property rights, user content licenses, collection rights, and miscellaneous provisions.
